This Non-Solicitation Agreement (the “Agreement”) is made and effective 6/1/24
BETWEEN: Your Company (The Company)
AND: IT Support CRM (The Employee)
WHEREAS, the Employee has or will have access to confidential and proprietary information, customer relationships, and trade secrets as a result of their employment with the Company;
WHEREAS, the Company seeks to protect its legitimate business interests, including its customer relationships and confidential information, from unauthorized use or disclosure by the Employee;
NOW, THEREFORE, it is agreed as follows:
- NON-SOLICITATION OF CUSTOMERS
1.1 During the term of the Employee’s employment with the Company and for a period of 60 months following the termination of employment, the Employee agrees not to, directly or indirectly, solicit or attempt to solicit any customer or client of the Company for the purpose of providing products or services that are competitive with those offered by the Company.
- NON-SOLICITATION OF EMPLOYEES
2.1 During the term of the Employee’s employment with the Company and for a period of 60 months following the termination of employment, the Employee agrees not to, directly or indirectly, solicit or attempt to solicit any employee of the Company for the purpose of hiring or engaging them in employment with any other entity or for any other purpose that is competitive with the interests of the Company.
- NON-DISCLOSURE OF CONFIDENTIAL INFORMATION
3.1 The Employee acknowledges that, during the course of their employment with the Company, they have had and will have access to and become familiar with various trade secrets, confidential information, and proprietary information of the Company. The Employee agrees to maintain the confidentiality of all such information and not to disclose it to any third party or use it for any purpose other than in the performance of their duties for the Company.
- RETURN OF COMPANY PROPERTY
4.1 Upon termination of employment, the Employee agrees to promptly return to the Company all Company property, including but not limited to documents, records, data, and any other materials or equipment in their possession or control.
- ENFORCEABILITY
5.1 The Employee agrees that the restrictions contained in this Agreement are necessary for the protection of the legitimate business interests of the Company, are reasonable in scope and duration, and do not unduly restrict the Employee’s ability to earn a livelihood.
- GOVERNING LAW
6.1 This Agreement shall be governed by and construed in accordance with the laws of California.
- MODIFICATIONS
7.1 This Agreement may be modified only by a written agreement executed by both Parties.
- ENTIRE AGREEMENT
8.1 This Agreement contains the entire agreement between the Parties with respect to the subject matter of the Agreement, supersedes all prior agreements, negotiations, and understandings, and constitutes a final and exclusive expression of the Parties’ agreement.
